Terms of Use for DevPayr

These Terms of Use explain how DevPayr can be used, what you can expect from us, and what we expect from you. We’ve tried to keep the language as clear as possible while still covering the legal parts properly.

DevPayr is owned and operated by Kopium LLC a U.S.-registered company. By using DevPayr, you agree to these terms.

1. What DevPayr is

DevPayr is a platform that helps developers, designers, agencies, in-house teams, and startups protect their work. In simple terms, we give you tools to:

  • Control who can use your software, code, or digital products.
  • Attach usage to licenses, domains, environments, or specific projects.
  • Enforce limits ethically when clients or internal teams go beyond what was agreed.

When we say “Service” or “DevPayr” in this document, we mean the website, dashboard, APIs, SDKs, injectables, integrations, documentation, and any related tools we provide.

When we say “you”, we mean either you as an individual or the company/organisation you represent. If you are using DevPayr on behalf of a company, you are confirming that you have the authority to accept these terms on their behalf.

2. Acceptance of these Terms

By creating an account, integrating our SDK, calling our APIs, or using the DevPayr dashboard, you are agreeing to these Terms of Use and to our Privacy Policy .

If you do not agree with these terms, or you are not allowed to agree to them (for example, because of your local laws or company policies), you must not use DevPayr.

We may update these terms from time to time. When we make material changes, we will do our best to notify you (for example, by email or an in-app notice). If you continue using DevPayr after changes are published, it means you accept the updated terms.

It’s a good idea to review this page occasionally so you know what currently applies.

3. Who can use DevPayr (Eligibility)

To use DevPayr, you must:

  • Be at least 18 years old or the legal age of majority in your country.
  • Be able to enter into a binding contract under the laws that apply to you.
  • Provide accurate and truthful information when creating an account.

If you sign up on behalf of a company or client, you are confirming that:

  • You have permission to do so.
  • The company accepts these terms through you.

We may refuse, suspend, or close accounts if:
— information provided is false or misleading,
— you violate these terms, or
— we are required to do so by law or for security reasons.

4. Your account, security & responsibilities

You are responsible for everything that happens under your DevPayr account. This includes:

  • Your login details (email, password, 2FA, etc.).
  • Any API keys, project keys, or global keys we generate for you.
  • Any SDKs or injectables you install into your code or products.

To keep your account safe, you should:

  • Use a strong, unique password.
  • Enable two-factor authentication (2FA) where available.
  • Rotate keys if you suspect they’ve been exposed.
  • Limit who in your team has access to sensitive settings.

If you suspect unauthorized access, please email us at support@devpayr.com as soon as possible.

We may temporarily suspend parts of your account if we detect suspicious activity or a security issue. This is to protect you, us, and other users.

5. Acceptable use of DevPayr

DevPayr is built to help you enforce fair payment and access, not to harm people or break laws. You agree not to use DevPayr for anything illegal, abusive, or dishonest.

This includes, for example, not using DevPayr to:

  • Distribute or protect clearly illegal content or services.
  • Bypass laws on consumer protection, data privacy, or digital rights.
  • Harass, threaten, or unfairly trap end-users or clients.
  • Attack, overload, or attempt to break DevPayr or other systems.
  • Send spam, malware, or use our webhooks for abusive traffic.
  • Reverse engineer or tamper with our SDKs or APIs in ways that break these terms.

If you use DevPayr to enforce licenses on your own clients or end-users:

  • You are responsible for telling them clearly that access may be limited or paused if they don’t pay or break the agreement.
  • You are responsible for how and when you trigger enforcement, not DevPayr.

If we believe you are using DevPayr in a way that is abusive, harmful, or unlawful, we may suspend or close your account and, where necessary, report the matter to the appropriate parties.

6. Intellectual property

DevPayr, the dashboard, SDKs, APIs, documentation, visual design, brand name, and logo are owned by Kopium LLC or our licensors. They are protected by copyright, trademark, and other intellectual property laws.

We give you a limited, non-exclusive, revocable license to use DevPayr so you can protect your own work, as long as you follow these terms. We do not transfer ownership of DevPayr or any of our IP to you.

You must not:

  • Sell, resell, or rebrand DevPayr as your own platform.
  • Copy or redistribute our dashboard or SDKs beyond what is needed for integration.
  • Remove or hide copyright notices or branding inside the tools we provide.
  • Reverse engineer our platform, except where the law explicitly allows it.

Any libraries or services from third parties that we use or integrate with remain their own intellectual property, and are subject to their own licenses.

If you send us feedback or ideas about DevPayr, you agree that we can use those ideas to improve the platform without owing you any payment or credit. We love feedback, but we have to keep the legal part simple.

7. Payment, billing & plans

DevPayr offers different plans and pricing tiers. The current details are shown on the pricing page .

When you choose a paid plan, you agree to:

  • Pay the fees for that plan using one of the payment methods we support.
  • Allow us (through our payment partners) to charge you on a recurring basis (monthly or yearly), depending on your choice.
  • Be responsible for any taxes that apply in your country (apart from our own income tax).

If a payment fails and we cannot collect after reasonable attempts, we may:
— limit your access to paid features,
— downgrade your plan, or
— suspend your account until payment issues are resolved.

Unless the law in your region requires it, we do not guarantee refunds. If you believe you have been charged in error, please contact us within a reasonable time and we will review it.

You can upgrade, downgrade, or cancel your plan from your dashboard. Changes may take effect immediately or at the next billing cycle, depending on the situation and how our billing system is configured at that time.

If you offer your own clients access enforcement using DevPayr (for example, disabling their app when they don’t pay you), you must be transparent with them about this. DevPayr is a tool you control; disputes between you and your clients are your responsibility.

8. Suspension & termination

You can stop using DevPayr at any time. You may also close your account from the dashboard (once this is available) or by contacting support.

We may suspend or terminate your account if:

  • You seriously or repeatedly break these terms.
  • You use DevPayr in a clearly abusive, harmful, or fraudulent way.
  • You fail to pay for a paid plan after reminders.
  • We are required by law or a valid legal request.

Where reasonable, we will try to give you notice and a chance to fix the issue before taking stronger action. However, in urgent cases (for example, security risks or obvious abuse), we may act without prior notice.

Termination may lead to loss of access to your projects, licenses, logs, and configuration. Please export or back up anything important ahead of time if you plan to leave.

Certain parts of these terms (for example, limitation of liability, indemnity, and intellectual property sections) will continue to apply even after your account is closed.

9. Service availability & changes

We care about reliability, but no online service can promise 100% uptime. DevPayr may sometimes be unavailable due to:

  • Planned maintenance and upgrades.
  • Unexpected outages or technical issues.
  • Network problems outside our direct control.

Where possible, we will give advance notice of planned maintenance that could significantly affect your usage. For unplanned issues, we will work to restore service as quickly and safely as we can.

We may also evolve DevPayr over time. This can include:

  • Adding or improving features.
  • Deprecating older SDK versions or APIs.
  • Changing how certain limits or plans work.

For major changes that affect how you integrate with DevPayr, we will try to give reasonable notice and guidance, so you have time to adjust.

It is your responsibility to design your own application in a way that can handle temporary issues gracefully, especially if uninterrupted access is critical for your users.

10. Disclaimers & limitation of liability

We provide DevPayr “as is” and “as available”. This means:

  • We do not promise that the Service will be without bugs or interruptions.
  • We do not guarantee that DevPayr will meet every specific need you have.
  • We do not guarantee that every integration will work perfectly in every environment.

To the fullest extent allowed by law, DevPayr and Kopium LLC will not be responsible for:

  • Loss of profits, revenue, customers, or opportunities.
  • Loss or corruption of data.
  • Indirect, incidental, or consequential damages of any kind.

If, despite this, we are found to be legally liable to you for something related to your use of DevPayr, our total liability will be limited to the amount you paid us in the four (4) months before the issue arose.

Some regions do not allow certain limitations, so parts of this section may not apply to you if the law in your area says otherwise.

11. Your responsibility to indemnify us

If your use of DevPayr causes a problem that leads to a claim against us, you agree to help protect us from that claim.

In practical terms, you agree to indemnify and hold harmless DevPayr, Kopium LLC, and our team from any claims, damages, losses, or costs (including reasonable legal fees) that arise from:

  • Your use or misuse of DevPayr.
  • Your violation of these terms or applicable laws.
  • Your violation of someone else’s rights (including IP or privacy rights).
  • Disputes between you and your own clients or end-users around enforcement, access, or payments.

If such a situation comes up, we may take over the handling of the matter. If we do, you agree to cooperate with us and not settle any related claim without our written consent.

12. Governing law & where disputes are handled

These terms are governed by the laws of the State of Delaware, without considering conflict-of-law rules.

If we ever have a legal dispute about DevPayr that cannot be resolved informally, it will be handled in the courts located in Delaware, United States. By using DevPayr, you agree to this choice of location and law.

We know not everyone using DevPayr is in United States, but we need a single home base in legal terms.

13. Third-party services & links

DevPayr relies on and/or connects with various third-party services, such as payment providers, hosting, analytics, or communication tools. Those services are not controlled by us.

When you use them (directly or through DevPayr), you are also agreeing to their own terms and privacy policies. We are not responsible for their actions, reliability, or decisions.

From time to time, we may also link to external websites or resources for your convenience. These are simply links, not endorsements. We are not responsible for their content or behaviour.

14. Changes to these Terms

DevPayr will grow, and these terms may need to grow with it. When we make important changes, we will do our best to let you know via email, a notice in the dashboard, or both.

If you keep using DevPayr after changes go live, it means you accept the new version of the terms. If you do not agree with the updated terms, you should stop using DevPayr and close your account.
